We draft and review purchase and sale agreements—often called “earnest money agreements”—for both residential and commercial transactions. In many instances the parties start with a preprinted form, often supplied by a real estate agent, which we will amend and fine-tune with an addendum. Sometimes we draft additional documents, such as promissory notes, deeds of trust, easements, height restrictions, road maintenance agreements, and, in commercial transactions, subordination agreements, tenant estoppel certificates, non-disturbance and attornment agreements, and leases.
Our escrow experience gives us a thorough understanding of what happens between the signing of the purchase and sale agreement and closing. We can represent our clients effectively during all stages of the purchase and sale process.
Unfortunately, sometimes transactions fail. We have considerable experience representing clients in breach of contract cases.
